The Website is meant to be used as a useful resource for information concerning legacy and wishes planning. The website is operated by Intercap Merchant Partners, LLC d/b/a Future File (“Future File”), an Illinois limited liability company. (“We,” “us,” or “Future File”).

1. Consent. This Terms of Use Agreement (“Agreement”) sets forth the legally binding terms governing your use of the Website.  By using the Website, you agree to be bound by this Agreement. You are only authorized to use the Website if you agree to abide by all applicable laws and to this Agreement and indicate your acceptance during the registration process. Please read this Agreement carefully and if you do not agree to its terms, you should leave the Website and discontinue use of its services immediately.
2. Updates. The Website, this Agreement, and your eligibility and/or use of the Website, may be modified by us at any time without prior notice. Each time you use the Website, the current version of this Agreement will apply. Accordingly, when you use the Website, you should check the date of this Agreement (which appears above) and review any changes since the last version. If we become aware that a user of our Website is under the age of 18 and has registered without verifiable parental consent, we reserve the right to remove and delete the information in that person’s account and immediately terminate the account.

4. Term & Termination. This Agreement shall remain in full force and effect while you use the Website. Future File may terminate your use of the Website at any time, without warning. You agree that Future File may terminate your use of the Website if Future File reasonably believes that you have violated or acted inconsistently with the letter or spirit of this Agreement, or violated the rights of Future File or any third party, or for any reason with or without notice to you. You agree that Future File may modify or discontinue this Website, with or without notice to you. You agree that Future File will not be liable to you or any third party as a result of such modification or discontinuation. The provisions 7 – 15 shall survive termination of this Agreement.
5. Non-commercial Use by Users. The Website is for the personal use of its visitors only and may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by Future File. Illegal and/or unauthorized use of the Website, including but not limited to collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the Website is prohibited. Commercial advertisements, affiliate links, and other forms of solicitation may be removed from any user profiles or posting without notice and may result in termination of authorization of use.
6. Proprietary Rights in Website Content.
   1. The Content on the Website are provided by Future File as a convenience to its visitors, and registered users and members of the general public for their information and education. While Future File provides access to its Website and the Content thereon to anyone, Future File retains all ownership and copyright on all text, graphic images and sounds. You may not: display, distribute, modify, perform, reproduce, re-post, sell or prepare derivative works based on, or otherwise use any Content in any way for any public or commercial purpose, or “mirror” or include this Content on another server without Future File’s prior written permission. You may: download and print one copy of the Content for your own personal non-commercial use only. Future File reserves all other rights. 7. Dealings with Advertisers/Users. The appearance of any link to other sites does not constitute or imply any approval or endorsement by Future File of the other sites. You acknowledge and agree that by providing Future File with any personal information through this site, you consent to the transmission of such personal information over international boarders as necessary for processing in accordance with Future File’s standard business practices and applicable Privacy Policy.

The section titles in this Agreement are for convenience only and have no legal or contractual effect. Future File is a trademark of Intercap Merchant Partners, LLC. This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.

Optional Provisions:

1. Password & Profile. When you register to use of the Website you will also be asked to choose a password and create a username and profile. You agree to provide true, accurate, current and complete information about yourself as prompted by the registration form. You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the account, username, or password of another user at any time or to disclose your password to any third party. You agree to notify Future File immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.

   Your Future File profile may not include the following items: telephone numbers, any photographs containing nudity, or obscene, lewd, excessively violent, harassing, sexually explicit or otherwise objectionable subject matter. Despite this prohibition, information provided by other Future File users (for instance, in their Profile) may contain inaccurate, inappropriate, offensive or sexually explicit material, products or services, and Future File assumes no responsibility or liability for this material. If you become aware of misuse of the Website by any person, please contact us or click on the link at the bottom of any Future File page.

2. Content Posted.
   1. Please choose carefully the information you post on or to the Website and that you provide to other users of the Website. Future File reserves the right, in its sole discretion, to reject, refuse to post or remove any posting (including private messages) by you, or to restrict, suspend, or terminate your access to all or any part of the Website at any time, for any or no reason, with or without prior notice, and without liability. 
      By posting communications to the Website, you automatically grant Future File a royalty-free, perpetual, irrevocable non-exclusive license to use, reproduce, modify, publish, edit, translate, distribute, perform, and display such communication(s) alone, or as a part of other works solely on and through the Website.
   2. Anything you transmit or post may be used by Future File or licensed to others by Future File for any purpose, including but not limited to reproduction, disclosure, transmission, publication, broadcast and posting, or developing, manufacturing and marketing products using such information.

Future File may delete any Content that in the sole judgment of Future File violates this Agreement or which may be offensive, illegal or violate the rights, harm, or threaten the safety of any person. Future File assumes no responsibility for monitoring the Website for inappropriate Content or conduct. If at any time Future File chooses, in its sole discretion, to monitor the Website, Future File nonetheless assumes no responsibility for the Content, no obligation to modify or remove any inappropriate Content, and no responsibility for the conduct of the User submitting any such Content.
   4. You are solely responsible for the Content that you post on or through any of the Website, and any material or information that you transmit to other users or visitors and for your interactions with other Users. Future File does not endorse and has no control over the Content. Content is not necessarily reviewed by Future File prior to posting and does not necessarily reflect the opinions or policies of Future File.
